Affiliate Program Terms and Conditions

These Affiliate Program Terms and Conditions (the "Agreement") govern Your participation in the Ekomspace Affiliate Program (the "Program"). This Agreement is between Olyria Technology LLC (doing business as Ekomspace, "We," "Our," or "Us") and You, the Affiliate ("You" or "Your").

1. Program Enrollment

1.1. Application and Acceptance

Your enrollment is subject to Our approval. We reserve the right to accept or reject any application. You must be legally authorized to enter into binding contracts.

1.2. Relationship

Your relationship with Ekomspace is that of an independent contractor. This Agreement does not create any partnership, employment, joint venture, or agency relationship. You are solely responsible for all tax obligations related to the commissions You receive.

2. Referrals and Commissions

2.1. Commission Rate

Ekomspace will pay You a commission of thirty percent (30%) on the net recurring subscription fees (excluding taxes, transaction fees, or discounts) paid by Referred Customers.

2.2. Recurring Commission

The commission is recurring and will be paid as long as the Referred Customer maintains an active, paid subscription. Commission immediately ceases if the Referred Customer cancels or suspends their subscription.

2.3. Referred Customer

A "Referred Customer" is a new user who clicks on Your unique Affiliate Link, signs up for a paid subscription, and is a new customer (existing accounts are not eligible).

2.4. Tracking Duration (Cookie)

The referral is registered if the user signs up within thirty (30) days of clicking Your Affiliate Link. The commission is attributed to the last clicked link.

3. Payment and Validation Conditions

3.1. Validation Period

Commissions are subject to a validation period of thirty (30) days following the initial payment to cover cancellation, refund, or fraud risks.

3.2. Payment Threshold

Commissions will be paid once the total reaches a minimum threshold of fifty (50) Euros (€).

3.3. Payment Methods

Payments will be made via bank transfer or PayPal. You are responsible for providing accurate payment information.

3.4. Taxes

Ekomspace does not withhold taxes. You are solely responsible for all tax obligations.

3.5. Required Tax Forms

Before any commission payment, You must provide a W-9 form (US residents) or W-8BEN form (non-US residents). Failure to provide the required form may result in withholding of commissions.

4. Restrictions and Prohibited Activities

4.1. Fraud

Any attempt at fraud, including self-referral, generating false leads, or using automated tools, will result in immediate cancellation of all commissions and termination from the Program.

4.2. Brand Bidding Restriction

You are not permitted to bid on Ekomspace brand keywords on Google Ads, Bing, or any other PPC platform.

4.3. Spam and Deceptive Content

You must not send unsolicited commercial email or use deceptive marketing practices.

4.4. Illegal Content

You must not promote Ekomspace on websites containing illegal, hateful, defamatory, or explicit adult content.

4.5. Disclosure (FTC Compliance)

You must clearly disclose Your affiliate relationship with Ekomspace in all promotional materials, as required by the US Federal Trade Commission (FTC) guidelines.

5. Intellectual Property

5.1. Limited Trademark License

Ekomspace grants You a non-exclusive, non-transferable, limited license to use Ekomspace Brand Materials for the sole purpose of promoting the Service.

5.2. Brand Guidelines

You agree to use the Brand Materials in strict compliance with Ekomspace's brand usage guidelines.

6. Termination

6.1. Termination by Affiliate

You may terminate Your participation at any time by providing written notice.

6.2. Termination by Ekomspace

Ekomspace may terminate Your participation at any time. In the event of a material breach of Sections 4.1 (Fraud) or 4.2 (Brand Bidding), termination will be immediate and all unpaid commissions shall be forfeited.

7. Modifications

We reserve the right to modify any aspect of this Agreement at any time. Your continued participation after changes are posted constitutes Your acceptance of the new terms.
